Terms of Service

ScriptYard is operated by Filmsnickeriet AB ("Filmsnickeriet AB", "we", "us"), a company registered in Sweden, trading as "ScriptYard". These Terms of Service form an agreement between you and Filmsnickeriet AB. By accessing or using the platform you agree to these terms. If you do not agree, please do not use the service.

1. The service

ScriptYard is a web-based screenwriting and production breakdown platform providing a Fountain script editor, production breakdowns, scheduling, PDF export, collaboration and community features. Some features are paid one-time unlocks as described on our pricing page.

2. Account & eligibility

You must be at least 13 years old (or old enough to form a binding contract in your country) to use ScriptYard. If you use the service on behalf of an organisation, you confirm you have authority to bind it. You are responsible for keeping your credentials confidential and for all activity under your account, and you must provide accurate information and keep it up to date. Notify us immediately if you suspect unauthorized access.

3. Acceptable use and misuse

You may use ScriptYard to write, organize, break down and share screenplays and production documents. You must not: use the service unlawfully; commit fraud or send spam; upload or distribute content that infringes intellectual property or other rights of third parties; upload malware or interfere with the security or integrity of the service (including probing, penetration testing, or automated scraping); reverse engineer the software; resell or redistribute the service; or circumvent technical limits, paywalls or usage restrictions.

4. Your content

You retain ownership of the scripts, notes and other content you create. You grant Filmsnickeriet AB a limited, non-exclusive licence to host, store, process and display your content solely to operate and provide the service to you and to the collaborators you invite. You are responsible for having the rights to any content you upload, including material converted or imported into the platform.

5. AI features and accuracy

Some features use AI models to tag breakdown elements or convert documents. Outputs may be inaccurate or incomplete and must be reviewed by you before production use. You are responsible for your prompts, for the content you submit, and for how you use the outputs. We may filter, refuse or moderate content and outputs, and may suspend accounts for repeated abuse or infringement. Rights-holders may contact us at hello@scriptyard.io to request removal of infringing content.

6. Intellectual property

Filmsnickeriet AB retains all rights in the ScriptYard software, documentation, design and branding. You are granted a limited, non-exclusive, non-transferable right to use the service within the plan or unlocks you have purchased.

7. Service level

The service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation and, to the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

8. Payments, billing and refunds

Prices for our unlocks are shown on the pricing page and at checkout. Payment, billing, tax, invoicing, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Our own refund window and process are described in our Refund Policy.

9. Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

10. Suspension & termination

We may suspend or terminate access for material breach of these terms, non-payment or chargeback, security or fraud risk, or repeated or serious policy violations. You may delete your account at any time from your Account Settings; deletion removes your personal data and content subject to legal and technical retention requirements. You are responsible for exporting any content you wish to keep before deletion.

11. Limitation of liability

To the extent permitted by law, our aggregate liability is limited to the amount you paid us in the 12 months preceding the claim, or USD 100 if you did not pay. We exclude liability for indirect, consequential or special damages including loss of profits, data or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify Filmsnickeriet AB against claims arising from your content, your unlawful use of the service, or your breach of these terms.

13. Governing law & disputes

These terms are governed by the laws of Sweden, and disputes will be handled by the competent courts of Sweden, without prejudice to mandatory consumer protection rights in your country of residence.

14. Assignment & force majeure

You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond reasonable control.

15. Changes

We may update these terms from time to time. Continued use after changes constitutes acceptance.
